Welcome to NOYN (“we,“ “us,“ or “our“). By accessing or using the services provided by NOYN, you agree to these Terms of Service (“Terms“). Please read them carefully.

Services Offered

NOYN provides coaching and educational guidance designed to enhance mental, physical, and athletic performance. Our services assist users, including athletes and amateur athletes, in optimizing their performance through personalized plans, resources, and ongoing support. These services do not constitute psychological or medical advice and are focused exclusively on non-clinical performance improvement strategies.

ALL SERVICES PROVIDED BY NORTHNECK ARE OFFERED “AS-IS“ WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NORTHNECK MAKES NO GUARANTEES REGARDING THE EFFECTIVENESS, OUTCOMES, OR RESULTS OF USING OUR SERVICES.

User Representations

• They will provide accurate and complete information during registration and use of the services.
• They are authorized to use the services and will not violate applicable laws or regulations.
• They will not attempt to reverse engineer, modify, or exploit the services beyond intended purposes.
• They will not reproduce or distribute NOYN content without express written consent.
• They possess the necessary physical fitness and health to engage in their desired athletic activities and accept the risks.

Intellectual Property

All content, materials, and resources provided by NOYN, including but not limited to text, graphics, logos, videos, and reports, are copyrighted property of NOYN. Users are granted a non-exclusive, non-transferable license for personal, non-commercial purposes.

Limitation of Liability

NOYN's liability is limited to the total fees paid by the user to NOYN during the 12 months preceding the claim. Under no circumstances shall NOYN be liable for indirect, incidental, consequential, or punitive damages.

Claims Process

Users must notify NOYN of any claims within one year of the event giving rise to the claim or within six months after termination of services, whichever is earlier. Failure to comply with these timeframes will result in the claim being barred.

Arbitration

Disputes shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules in Milwaukee County, Wisconsin.

Law and Venue

These Terms are governed by the laws of the State of Wisconsin. Legal actions not subject to arbitration shall be brought exclusively in Milwaukee County, Wisconsin.

Severability

If any provision of these Terms is found to be invalid, the remaining provisions shall remain valid and enforceable.

Force Majeure

NOYN shall not be held liable for failure to perform due to events beyond its control, including natural disasters, labor disputes, or internet service interruptions.

Termination

NOYN may suspend or terminate services at any time without notice for violation of these Terms. Upon termination, users must cease all use of the services.

Entire Agreement

These Terms constitute the entire agreement between users and NOYN and supersede all prior agreements and understandings.

No Waiver

Failure to enforce any provision shall not constitute a waiver of that provision.
